Introduction
These Terms and Conditions govern the supply of goods by Grein Wholesale Australia (“we”, “us”, “our”) to approved business customers (“Customer”, “you”) through our B2B online ordering portal operated via Cin7 (“Website”). By accessing or placing an order through our Website, you agree to be bound by these Terms and Conditions.
Business Use Only
Our Website is strictly for business customers operating within Australia. By placing an order, you confirm that you hold a valid Australian Business Number (ABN) and that all goods are purchased solely for business purposes. We reserve the right to refuse or cancel any order where we reasonably believe the purchase is not for business use.
Account Registration
Customers must register for an account before purchasing goods. You agree to provide accurate and complete business information and to promptly update any changes. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. We reserve the right to suspend or terminate any account in the event of non-payment, breach of these Terms, or misuse of the Website.
Pricing and GST
All prices displayed on the Website are in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST) unless stated otherwise. GST will be added at checkout or invoicing where applicable. Prices may be updated at any time prior to order confirmation. Trade pricing is confidential and must not be disclosed to third parties.
Orders and Acceptance
Orders submitted through the Website constitute an offer to purchase goods. No binding contract is formed until we confirm acceptance of the order. We reserve the right to reject or cancel any order due to stock unavailability, pricing errors, credit concerns, or any other reasonable grounds.
Payment Terms
We accept payment via cash, bank transfer, and approved credit terms. Where credit terms are granted, payment must be made within the agreed trading terms. We reserve the right to charge interest on overdue accounts and to suspend further supply until outstanding amounts are paid in full. Goods remain unpaid until cleared funds are received.
Delivery
We supply goods within Australia only. Delivery timeframes are estimates and are not guaranteed. Risk in the goods passes to the Customer upon dispatch unless otherwise agreed in writing. The Customer must inspect all goods immediately upon delivery and notify us of any defects, shortages, or discrepancies within 48 hours.
Freight charges, where applicable, will be advised at checkout or invoiced separately.
Retention of Title
Title in all goods supplied remains with Grein Wholesale Australia until full payment has been received. Until payment is made in full, the Customer holds the goods as fiduciary bailee. We reserve the right to register a security interest under the Personal Property Securities Act 2009 (Cth) (PPSA) and to recover goods in the event of non-payment. The Customer consents to any such registration.
Returns and Claims
Due to the nature of food products, we operate a strict returns policy. Returns are only accepted where goods are defective, damaged prior to delivery, or incorrectly supplied. Claims must be made within 48 hours of delivery and supported by photographic evidence.
We do not accept returns for change of mind, over-ordering, incorrect selection by the Customer, or dissatisfaction relating to shelf life where such information was disclosed. Approved claims may result in replacement, credit note, or refund at our discretion.
Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights or remedies available under the Competition and Consumer Act 2010 (Cth) or the Australian Consumer Law (ACL). Where liability cannot be excluded, our liability is limited, to the extent permitted by law, to the replacement or resupply of goods or the cost of such replacement or resupply.
We are not liable for indirect, consequential, or business losses including loss of profit, revenue, or opportunity.
Product Information and Food Safety
Product descriptions, images, and specifications are provided for general information and may vary from actual packaging. Customers are responsible for ensuring proper storage and handling of food products upon delivery, including temperature control and compliance with applicable food safety laws. We are not responsible for deterioration or spoilage occurring after risk has passed to the Customer.
Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of the supply of goods is limited to the value of the goods supplied. We are not liable for any indirect, incidental, or consequential damages.
Privacy
We collect and handle business information in accordance with the Privacy Act 1988 (Cth). By using our Website, you consent to the collection and use of your information as outlined in our Privacy Policy.
Force Majeure
We are not liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to supply chain disruption, natural disasters, transport delays, regulatory changes, or import restrictions.
Insolvency
We may immediately suspend or terminate supply if the Customer becomes insolvent, enters administration or liquidation, or fails to pay debts as they fall due.
Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
